1. About us
“Scopiqo”, “we”, “us” and “our” mean Scopiqo Ltd, a company registered in England and Wales with company number 16484806.
Our registered office is 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.
You can contact us at [email protected].
“You” and “your” mean the business that orders our services.
2. Our agreement
These terms apply to every service we provide. Our agreement starts when you accept our written quote or proposal, by email or in writing, and pay any deposit due.
Our services are for businesses, including sole traders acting for their business. They are not offered to consumers buying for personal use.
If your quote and these terms disagree, the quote takes priority for that project.
3. The Website plan
£500, one-off (introductory price). Includes the design and build of your website, registration of your domain name, and 12 months’ hosting.
Your quote will set out what we will build: for example, the number of pages and features such as an enquiry form or click-to-call.
The price includes up to two rounds of changes to the design before launch. Further changes, extra pages or new features are quoted separately and agreed with you before we start.
We will give you an estimated timescale. Timescales depend on you supplying content and feedback promptly (see section 6).
The project is complete when the website is live, or when you approve it for launch. If you don’t respond for 30 days after we ask you to approve the site, we will treat the project as complete.
4. The Care plan
£70 per month, no fixed term — cancel anytime.
The Care plan includes:
- small changes on request, such as updating text, photos, prices, services and opening hours, up to about one hour of work each month;
- hosting and domain renewal after the first 12 months included with the Website plan;
- checks that your website is online and working; and
- help with local SEO and your Google Business Profile.
Unused time does not carry over to the next month. If a request will take more than the monthly allowance, or is new work such as a new page or feature, we will quote for it first and only go ahead once you agree.
We aim to reply to requests within one working day and to complete small changes within three working days.
5. Prices and payment
Website plan: 50% is payable when you accept the quote, before work starts. The remaining 50% is payable before the website goes live.
Care plan: billed monthly in advance, from the date you join.
Invoices are payable within 14 days unless stated otherwise. Scopiqo Ltd is not currently registered for VAT, so no VAT is added to our prices. If that changes, we will tell you before it affects anything you pay.
Introductory prices apply to agreements made while they are advertised. We will give Care plan clients at least 30 days’ written notice of any price change, and you may cancel before it takes effect.
If an invoice is overdue, we may pause work and, after giving you notice, suspend services, including hosting, until it is paid. We may also charge statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
6. Your part
You agree to:
- provide the text, photos, logos and information we need, accurately and on time;
- give feedback and approvals promptly;
- make sure you have the right to use anything you send us, and that it is lawful and accurate; and
- check your website’s content before it goes live, including prices, contact details and claims about your business.
You are responsible for the content you supply. You agree to cover any loss we suffer because content you supplied infringes someone else’s rights.
7. Who owns what
Once you have paid the Website plan in full, you own your website’s design and content, and we will give you a copy of the website files on request.
Your domain name is registered in your business’s name. If we manage it for you, we will transfer control to you on request.
We keep ownership of our own general tools, code snippets and know-how, and you may use them as part of your website. Fonts, images and software from third parties remain subject to their own licences.
Unless you tell us otherwise in writing, we may show your website in our portfolio and case studies, and include a small “Site by Scopiqo” credit in the footer.
8. Hosting and domains
We host websites with reputable third-party providers. We will do our best to keep your website online, but we cannot guarantee it will never be unavailable, and we are not responsible for outages caused by the hosting provider, internet faults or events outside our reasonable control.
After the 12 months included with the Website plan, hosting and domain renewal are included while you are on the Care plan. If you are not on the Care plan, we will give you a renewal quote at least 30 days before your hosting expires. You can then renew with us, or we will help you move your website and domain elsewhere.
If hosting is not renewed, your website will go offline when it expires.
9. SEO and results
We build websites using recognised good practice for search engines, including page titles, descriptions, structured data and local information.
Search rankings are controlled by Google and other search engines, not by us. We cannot guarantee a particular position, amount of traffic or number of enquiries.
10. Cancelling
Care plan: you can cancel at any time by emailing us. Cancellation takes effect at the end of the month you have already paid for, and there are no exit fees. We do not refund part months.
Website plan: you can cancel the project at any time by telling us in writing. The deposit is non-refundable because it covers work already started. If more work has been done than the deposit covers, we will invoice you fairly for the work completed.
Either of us may end the agreement immediately if the other seriously breaks these terms and does not put it right within 14 days of being asked.
11. Our liability
We will carry out our services with reasonable care and skill.
We are not liable for loss of profits, revenue, business, data or goodwill, or for any indirect or consequential loss.
Our total liability to you under any agreement is limited to the total fees you have paid us in the 12 months before the claim arose.
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited or excluded under the law of England and Wales.
12. Data protection
We both agree to comply with UK data protection law, including the UK GDPR and the Data Protection Act 2018.
Where your website collects personal data, for example through an enquiry form, you are the controller of that data. Where we handle it for you, we act as your processor: we will only use it to provide our services, keep it secure, and not share it except with the providers needed to run your website.
You are responsible for your website’s privacy policy. We can help you prepare one.
13. General
- We may update these terms from time to time. The version on this page when you accept a quote applies to that work. We will tell Care plan clients about any significant change.
- We are not responsible for delays caused by events outside our reasonable control.
- Neither of us may transfer this agreement to someone else without the other’s agreement in writing.
- If any part of these terms is found to be unenforceable, the rest still applies.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
